Terms of Service

1. Acceptance of Terms

By accessing or using the LogionOS platform, APIs, SDKs, browser extension, dashboard, or any related services (collectively, the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

2. Description of Service

LogionOS provides an AI compliance and governance platform that includes:

  • Real-time compliance checking API for AI inputs and outputs
  • A regulation database covering 10,000+ compiled policy rules across 12 jurisdictions (US, EU, JP, UK, SG, HK, CA, KR, AU, IN, BR, CN)
  • Enterprise Dashboard for monitoring, audit trails, and compliance reporting
  • Browser extension for real-time AI interaction compliance (including the optional "creator mode" Creator Risk Layer)
  • LogionOS for Creators — creator risk signaling (citation risk, mimicry risk, disclosure coaching, session receipts) via the Chrome extension and /v1/creator-check API; governed by Section 9 of these Terms
  • Python and JavaScript/TypeScript SDKs
  • Custom policy management and webhook integrations

3. Account and API Access

To use the Service, you must register and obtain API credentials. You are responsible for maintaining the confidentiality of your API keys and for all activities that occur under your account. You must notify us immediately of any unauthorized use of your account.

4. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose or in violation of any applicable laws or regulations
  • Attempt to reverse engineer, decompile, or disassemble any part of the Service
  • Use the Service to develop a competing product or service
  • Exceed the rate limits or usage quotas applicable to your plan
  • Share your API credentials with unauthorized third parties
  • Transmit any malicious code, viruses, or harmful data through the Service

5. Data Processing

When you submit queries to the LogionOS API, we process the data in real-time to provide compliance analysis. We do not use your submitted data to train machine learning models. Data handling practices are further described in our Privacy Policy.

6. Intellectual Property

The Service, including all software, algorithms, regulation databases, documentation, and trademarks, is the property of LogionOS Inc. and is protected by intellectual property laws. You retain all rights to your own data. Nothing in these Terms grants you any right to use our trademarks, logos, or brand features without prior written consent.

7. Compliance Guidance Disclaimer

The Service provides compliance guidance and risk analysis only. It does not constitute legal advice. LogionOS is not a law firm and does not provide legal counsel. The compliance checks, risk assessments, and regulatory references provided by the Service are for informational and decision-support purposes. You should consult qualified legal professionals for legal advice specific to your situation.

8. Founder Program — Special Terms

The LogionOS Founder Program ("Program") provides qualifying early-stage startups with complimentary access to the Service for a limited period. By participating in the Program, you additionally agree to the following:

8.1 Eligibility and Duration

Program access is granted at LogionOS's sole discretion. Each accepted participant receives a 6-month complimentary access period starting from the date of API key issuance. Access automatically expires at the end of this period unless renewed or upgraded to a paid plan.

8.2 Usage Limits

Program participants are subject to the following usage caps:

  • API Calls: Up to 5,000 requests per month
  • Daily API Calls: Up to 500 per day
  • LLM Deep Checks: Up to 100 per month
  • Custom Policies: Up to 10
  • Webhooks: Up to 3
  • API Keys: Up to 3
  • Team Seats: 1 (single-seat access)

Usage beyond these limits will be rejected until the next billing period. These limits may be adjusted at LogionOS's discretion with reasonable advance notice.

8.3 No Service Level Agreement

The Program does not include a Service Level Agreement (SLA). While we strive for high availability, no uptime guarantees are provided to Program participants. For guaranteed SLA, please upgrade to a paid plan.

8.4 Support

Program participants receive email-based support (best-effort response within 3 business days). Priority, dedicated, or phone support is available only on paid plans.

8.5 Data and Product Improvement

Anonymized, aggregated usage data from Program participants may be used for product improvement, internal analytics, and benchmarking purposes. Individual query content is never shared externally.

Compliance Intelligence Data Sharing (Opt-In): Program participants may opt in to share anonymized compliance telemetry data (including de-identified query patterns, compliance decisions, and matched regulation metadata) to help improve LogionOS's compliance detection models. Participation is voluntary and can be revoked at any time through the Dashboard settings. Opt-in data undergoes automated PII removal, anonymization, and aggregation before being used for model training. Participants who opt in receive enhanced compliance intelligence features, including industry benchmark reports and improved detection accuracy.

Even when opted in, the following data is never used for training: raw PII values, API keys or credentials, any data explicitly marked as confidential by the user.

8.6 Case Studies and Testimonials

LogionOS may request permission to reference your company as a Program participant in marketing materials, case studies, or investor communications. Any such use requires your explicit written permission. You may decline without affecting your Program access.

8.7 Post-Program Transition

Upon Program expiration, you may:

  • Upgrade to a paid plan (all data, policies, and configurations are preserved)
  • Request a one-time extension (granted at LogionOS's discretion)
  • Export your audit logs and compliance reports before expiry

After expiration, API keys are deactivated and API calls will be rejected. Your data is retained for 90 days after expiration to allow for reactivation or export, after which it is deleted in accordance with our Privacy Policy.

8.8 BYOK (Bring Your Own Key)

Program participants may use their own LLM API keys for deep compliance checks. LogionOS does not store raw LLM API keys; they are encrypted at rest and used only for processing your compliance requests.

9. Creator Risk Layer — Product Boundaries

The "Creator Risk Layer" (marketed as "LogionOS for Creators" and delivered via the LogionOS Chrome extension's creator mode and the /v1/creator-check API) provides four risk-signaling jobs: citation risk (J1), mimicry risk (J2), disclosure coaching (J3), and a hash-chained session receipt (J4). These are risk signals and workflow guidance, not determinations.

By using the Creator Risk Layer, you acknowledge and agree that:

  • Not legal advice. Nothing surfaced by J1, J2, J3, or J4 — including flags, precedent pointers, disclosure snippets, or exported receipts — constitutes legal advice. LogionOS is not your attorney and using the Creator Risk Layer does not create an attorney-client relationship.
  • Not copyright clearance. J2 mimicry detection compares your content against a public-domain-only corpus (Project Gutenberg and US works published before 1930) and surfaces a stylistic similarity signal. It does NOT clear rights, license content, or certify that any output is free from infringement claims.
  • Not a compliance guarantee. A "clear" safety status means no rules in our regulation pack fired for your input and no risk signals met our thresholds. It does NOT mean your content complies with every applicable law, platform policy, or advertiser contract.
  • Disclosure snippets are suggestions. J3 produces copy informed by FTC 16 CFR Part 255, EU AI Act Article 50, and major platform policies (YouTube, TikTok, Meta, LinkedIn, Amazon KDP, US Copyright Office). You are responsible for reviewing whether any suggestion is accurate and appropriate for your specific content, jurisdiction, and audience before you publish it.
  • Receipts are evidence of what we showed you. J4 session receipts are tamper-evident records of the checks our system ran and the signals it returned. They are not binding legal determinations and do not bind any court, regulator, or platform.
  • You remain the publisher. You are solely responsible for the content you create, publish, distribute, or monetize. LogionOS is not a publisher, advertiser, endorser, or affiliate in any creator workflow.
  • No Protected Health Information. The Creator Risk Layer is not a HIPAA-covered service and is not certified or configured for Protected Health Information ("PHI") as defined by HIPAA. You agree not to submit PHI, Substance Use Disorder records (42 CFR Part 2), or any equivalent category of health information through the Creator Risk Layer. If your workflow requires HIPAA-grade handling, a separate LogionOS healthtech deployment with a Business Associate Agreement is required; contact sales@logionos.com.
  • No regulated financial account data. Do not submit full payment card numbers (PAN), bank account numbers, or authentication credentials. Use tokenized or redacted representations if the workflow calls for financial context.

These product boundaries are binding and apply even where other sections of these Terms might be read more broadly. Copy drift past these lines — whether in our own UI, marketing, sales calls, or support responses — does not alter or expand the Service we actually provide.

10. Service Availability

We strive to maintain high availability of the Service but do not guarantee uninterrupted access. We may perform scheduled maintenance with advance notice. Free-tier services may be subject to usage limitations including cold-start delays.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, LOGIONOS INC. SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES, REGARDLESS OF THE CAUSE OF ACTION.

Our total aggregate liability under these Terms shall not exceed the greater of (a) the fees you paid to LogionOS in the 12 months preceding the claim, or (b) $100 USD.

12. Indemnification

You agree to indemnify and hold harmless LogionOS Inc. and its officers, directors, employees, and agents from any claims, liabilities, damages, or expenses arising from your use of the Service or your violation of these Terms.

13. Termination

We may suspend or terminate your access to the Service at any time for violation of these Terms. You may terminate your account at any time by contacting us. Upon termination, your API keys will be deactivated and your data will be handled in accordance with our Privacy Policy.

14. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on our website with a new "Last updated" date. Continued use of the Service after such changes constitutes acceptance of the updated Terms.

15. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of laws provisions.
